Complete set of minutes of the last Board of Directors of the Erie-Lackawanna Railroad Company held in New York City on March 26, 1968, together with accompanying documentation and a signed opinion from Cravath, Swaine & Moore regarding the action taken by the Board at such meeting relating to the approved merger of the railroad into Erie Lackawanna Railway Company, a Delaware corporation controlled by Norfolk and Western Railway Company. Accompanying documents include copies of the certificate of incorporation and bylaws of Dereco, Inc., a holding company owned by Norfolk & Western and organized on March 1, 1968; the certificate of incorporation and bylaws of the newly organized Erie Lackawanna Railway Company; agreement and plan of merger between Erie Lackawanna Railway Company and the Erie-Lackawanna Railroad Company; escrow agreement among Norfolk and Western Railway Company, Dereco, Inc., Erie Lackawanna Railway Company, and Morgan Guaranty Trust Company of New York; certificate of merger of the Erie Lackawanna Railway Company and Erie-Lackawanna Railroad Company into the Erie Lackawanna Railway Company; and related materials.
